Terms of Service

1. Service description

All PDF Tools offers cloud-hosted PDF utilities, including but not limited to conversions, OCR, and document organization workflows. The frontend runs on Next.js and interacts with APIs hosted on Cloudflare Workers. We may add, remove, or modify features at any time.

2. Eligibility & accounts

• You must be at least 16 years old or the age of consent.
• Keep access tokens and sessions confidential; you are responsible for activity that occurs under your account.
• We may suspend or terminate access if we detect abuse, excessive resource consumption, or violation of these Terms.

3. Acceptable use

• Upload only files you have the legal right to process and share.
• Do not store malware, infringing content, or confidential data that you are not permitted to disclose.
• Do not attempt to reverse engineer, overload, or bypass security controls on the site or supporting APIs.
• Automated scraping is prohibited unless agreed in writing.

4. File handling

Files are transmitted to our Worker infrastructure solely to generate your requested output. We do not claim ownership of your content. You grant us a limited license to host and process the files for the duration of the conversion. Files are routinely deleted after the output is delivered. You are responsible for backing up your data.

5. Plans, payments, and taxes

• Free usage is subject to daily quota. Paid plans provide additional credits as described on the Pricing page.
• Stripe processes all payments. By subscribing you authorize recurring charges until you cancel. Cancellations prevent future renewals but do not retroactively refund prior charges unless required by law.
• Prices may change with 30 days’ notice posted on the site or sent via email. Taxes, foreign exchange fees, or bank charges are your responsibility.

6. Intellectual property

All PDF Tools, including its logo, UI, documentation, and proprietary code, is owned by Nexus Reach Inc. These Terms grant you a limited, non-transferable right to access the service. You may not resell, copy, or host the service without our explicit consent.

7. Disclaimers

THE SERVICE IS PROVIDED “AS IS”. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND AVAILABILITY. We do not guarantee that conversions will be error free or that files will always be retrievable.

8. Limitation of liability

To the maximum extent permitted by law, Nexus Reach Inc will not be liable for indirect, incidental, consequential, punitive, or special damages, or for loss of data, revenue, or profits. Our aggregate liability will not exceed the greater of USD $100 or the fees you paid in the three months preceding the event giving rise to the claim.

9. Termination

You may stop using the service at any time. We may terminate or suspend access immediately if you breach these Terms or if continued service is impractical or prohibited by law. Sections relating to intellectual property, disclaimers, limitation of liability, and dispute resolution survive termination.

10. Governing law & disputes

These Terms are governed by the laws of the State of Colorado, USA, without regard to conflict-of-law principles. Any dispute shall be resolved in the state or federal courts located in Denver County, Colorado, and both parties consent to personal jurisdiction there.

11. Changes

We may update these Terms to reflect operational or legal changes. We will post the updated version with a new “Last updated” date. Continued use after the update constitutes acceptance.
